Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Control Group Services, LLC, a Pennsylvania limited liability company (“Bridgekeeper,” “we,” “us,” or “our”). They govern your access to and use of bridgekeeper.io (the “Site”) and the Bridgekeeper GitHub App and web application (together, the “Product”).

By creating an account, installing the GitHub App, or otherwise using the Site or Product, you agree to these Terms. If you are using the Product on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” refers to both you and that organisation. If you do not agree to these Terms, do not use the Site or Product.

1. Who can use Bridgekeeper

You must be at least 16 years old to use the Product. You must also have the right and authority to grant Bridgekeeper access to the repositories you install the GitHub App on. If you install the GitHub App on a repository owned by an organisation, you confirm that organisation has authorised you to do so.

2. The Product

Bridgekeeper reads pull requests submitted to repositories on which you have installed the GitHub App, identifies what it judges to be salient changes, asks the pull-request author Socratic questions about those changes, and uses a large-language-model judge to produce a verdict. The Product writes review comments and Check Run statuses back to the pull request. The Product is intended to encourage authors to internalise code produced with AI assistance, and is not a substitute for human code review, security review, or legal compliance review.

3. Beta release

The Product is currently offered as a private beta. Features may change, break, or be removed without notice. Beta access is provided free of charge during the beta period. We may introduce paid plans for the generally available version of the Product; if we do, we will give you reasonable notice before any charges apply to your account.

4. Your account

You access the Product by signing in with GitHub or Google through our identity provider. You are responsible for maintaining the security of the upstream account and any actions taken from your Bridgekeeper account. Notify us promptly at hello@bridgekeeper.io if you suspect unauthorised access. You may delete your account at any time from the account settings page.

5. Acceptable use

You agree that you will not, and will not allow anyone else to:

  • use the Product in violation of any law or third-party right;
  • install the GitHub App on a repository you do not have authority over;
  • submit content that infringes intellectual-property rights, violates privacy or publicity rights, or is malicious code, malware, or unlawful;
  • attempt to reverse-engineer, scrape, probe, or interfere with the Product, except to the extent this restriction is prohibited by applicable law;
  • use the Product to build, train, or evaluate a competing service;
  • circumvent any rate limits, access controls, or technical measures we use to protect the Product;
  • misrepresent the source, authorship, or accuracy of Product output (for example, by passing a Bridgekeeper verdict off as a human security review).

6. Your content and the licence you grant us

“Your Content” means the pull-request diffs, source code, commit metadata, free-text answers, and other materials that you or your repositories provide to the Product. As between you and Bridgekeeper, you (or the organisation that owns the repository) retain all rights, title, and interest in Your Content. We claim no ownership over your code.

You grant Bridgekeeper a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, and otherwise process Your Content solely to operate the Product, generate review sessions and verdicts, post comments back to GitHub, secure the Product, and comply with law. This licence terminates when we delete Your Content under the retention rules in our Privacy Policy. We do not use Your Content to train, fine-tune, or evaluate any machine-learning model that we or our sub-processors operate.

7. Product output and AI disclaimer

The salient-change selection, questions, judge verdicts, and other output that the Product generates (“Output”) are produced by large-language-model agents. Output can be wrong, incomplete, biased, or out of date. Output is not legal advice, security advice, audit findings, or a substitute for human code review. You are responsible for deciding what to merge, what to revert, and how to act on any Output.

As between you and Bridgekeeper, you may use Output produced from Your Content for any lawful purpose, including merging the related pull request and quoting verdicts in your own code-review records. Because LLM systems can produce similar output for similar inputs, we do not warrant that Output is unique to you.

8. Our intellectual property

The Site, the Product, the Bridgekeeper name and logo, and the software, prompts, and documentation we make available are owned by Bridgekeeper or our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

9. Feedback

If you send us suggestions, ideas, or other feedback about the Product, you grant Bridgekeeper a perpetual, irrevocable, worldwide, royalty-free licence to use that feedback for any purpose, without obligation to you. We are not required to keep your feedback confidential.

10. Third-party services

The Product depends on third-party services, including GitHub and the large-language-model providers listed in our Privacy Policy. Your use of those services is governed by their own terms. We are not responsible for the availability, accuracy, or content of third-party services, and an outage or change in a third-party service may affect the Product without notice.

11. Suspension and termination

You may stop using the Product at any time by uninstalling the GitHub App from your repositories and deleting your account. We may suspend or terminate your access if we reasonably believe you have violated these Terms, if your use poses a security or reliability risk to the Product or other users, or if we are required to by law. Where practical we will give you notice and a chance to cure. Sections 6 (the licence you grant), 7 (AI disclaimer), 8 (our IP), 9 (feedback), 12 (warranty disclaimer), 13 (limitation of liability), 14 (indemnification), and 15 (governing law) survive termination.

12. Warranty disclaimer

The Site and the Product are provided “as is” and “as available.” To the fullest extent permitted by law, Bridgekeeper disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or trade usage. We do not warrant that the Product will be uninterrupted, error-free, or secure, that Output will be accurate, or that defects will be corrected. Some jurisdictions do not allow exclusion of implied warranties; in those jurisdictions, the exclusions in this section apply only to the extent permitted by law.

13. Limitation of liability

To the fullest extent permitted by law, Bridgekeeper and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Site or the Product, even if we have been advised of the possibility of such damages.

In any case, Bridgekeeper’s total cumulative liability arising out of or related to these Terms or your use of the Site or Product will not exceed the greater of (a) the amount you have paid Bridgekeeper in the 12 months preceding the event giving rise to the claim, and (b) one hundred US dollars (USD 100). The limits in this section apply in the aggregate, not per incident.

14. Indemnification

You agree to defend, indemnify, and hold harmless Bridgekeeper and its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising out of (a) Your Content, (b) your use of the Product in violation of these Terms or applicable law, or (c) your violation of any third-party right, including any intellectual-property or privacy right. Bridgekeeper will give you prompt notice of any such claim and reasonable cooperation in the defence at your expense; you may not settle a claim that imposes any obligation on Bridgekeeper without our prior written consent.

15. Governing law and venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The state and federal courts located in Philadelphia County, Pennsylvania, have exclusive jurisdiction over any dispute arising out of or related to these Terms or your use of the Site or Product, and you consent to personal jurisdiction and venue in those courts. Nothing in this section limits either party’s right to seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.

16. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the date of the most recent change. If we make material changes we will notify you by email (where we have your address) or by an in-Product notice at least 14 days before the changes take effect. Your continued use of the Site or Product after the effective date constitutes acceptance of the updated Terms.

17. Miscellaneous

These Terms, together with the Privacy Policy and any data processing addendum we sign with you, are the entire agreement between you and Bridgekeeper about the Site and Product, and supersede any prior agreement on the same subject. If any provision of these Terms is held unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of all or substantially all of our assets. There are no third-party beneficiaries to these Terms.
